The terms and conditions set out herein apply to any agreement between Businessleadsco. and You the pursuant to which Businessleadsco. will refer qualified leads and opportunities it has identified, in consideration for which you shall pay to Businessleadsco. the payments specified in paragraph 4.4 of the Terms and Conditions.
DEFINITIONS
'Enquirer' or ‘Interested Party’ – The person or persons who have applied through Businessleadsco. or approved partner sites.
'Lead' – the form containing details of the interested party and the mortgage information they have provided as part of Businessleadsco. pre-sales application process.
‘Businessleadsco’ – A trading name of Mortgage Hut Ltd.
'You' or 'Your' – The person, partnership or company to whom the Lead is sent.
OBLIGATIONS OF Businessleadsco.
3.1 Businessleadsco. will source leads through its affiliated partners. Businessleadsco. will endeavor to assist to the fullest extent possible the potential applicant so that the lead is fully qualified.
3.2 Businessleadsco. will, subject to network availability, email the Lead to You.
3.3 Businessleadsco. cannot guarantee that the Lead will be converted into business. Businessleadsco. will not refund any Lead that falls outside of BusinessLeadsco. Invalid Lead policy (5.1).
3.4 Businessleadsco. may send out questionnaires to You and/or the Enquirer with regards the Lead mechanism and service received to obtain feedback.
3.5 Businessleadsco will endeavor to action member requests as quickly as possible and will provide confirmation of changes in every case by email. Account amends will not be actioned outside of standard operating hours.
3.6 Businessleadsco. will notify You by email subject to at least 10 days notice of any change in its terms and conditions of use and / or lead price.
YOUR OBLIGATIONS
4.1 By signing the Pro Forma You agree to the terms and conditions as provided by Businessleadsco.
4.2 The Leads will be delivered by the agreed format to You 24 hours a day. You will endeavor to telephone the Enquirer as soon as possible within the limits laid down by the Financial Services Authority to acknowledge the application and discuss the Enquirer’s requirements.
4.3 You will be responsible for all dealings with the Enquirer once Businessleadsco. has referred the Lead to You. You should at no time present yourself as an agent of Businessleadsco., its partner sites, any other lender or any other agent or group of companies to which you do not belong.
4.4 You shall pre-pay the sum attached to each lead as described by Businessleadsco.'s standard account price list (available on request).
4.5 Each Lead, sent to You by Businessleadsco., must only be serviced by yourself or representative of your company or the company You work for. You must not up sell Leads without the prior knowledge and agreement of Businessleadsco.
4.6 In performing Your obligations under this agreement, in connection with Businessleadsco., You shall act in good faith, exercise all the due skill, care and diligence that would be expected of a professional independent advisor. You shall ensure that Your conduct of business in connection with Businessleadsco. and the scheme shall comply with all applicable rules and requirements. You shall not act in a way that could have an adverse effect on the reputation of Businessleadsco.,
INVALID LEADS
5.1 In the event that a Lead supplied by Businessleadsco. has the following defects:
5.1.1 You are unable to contact the Enquirer due to invalid contact details.
5.1.2 The Enquirer has never expressed any interest in the product and services listed in the Lead.
5.1.3 Where the Enquirer is pushed into providing information and accepting further contact.
5.1.4 The Lead falls outside its pre-set criteria.
Then the relevant Lead shall be deemed to an “Invalid Lead”.
5.2 You shall notify Businessleadsco. via email within 5 calendar days of the receipt of the Lead if you believe such a Lead to be an Invalid Lead. Businessleadsco. shall conduct its own analysis of such a Lead and shall notify you of the results of such an analysis within 3 working days. If Businessleadsco. agrees that such a Lead is an Invalid Lead then Businessleadsco. shall replace the Lead.
5.3 Businessleadsco. shall have no other liabilities for Invalid Leads and any Leads replacement made by Businessleadsco. in accordance with the provisions of this Clause 5 shall be the sole and exclusive remedy of you in respect of such Invalid Lead.
EVENTS BEYOND OUR CONTROL
Businessleadsco. shall not be liable to You for any breach of these terms and conditions of use or any failure to provide or delay in providing our services resulting from any event or circumstances beyond our reasonable control including, without limitation, breakdown of systems or network access, fire, explosion or accident.
GOVERNING LAW
The contract between us shall be governed by and interpreted in accordance with English law and the English courts shall have jurisdiction to resolve any dispute between us.
UNENFORCEABILITY
The enforceability or otherwise of any provisions of these terms and conditions shall not affect the enforceability of the rest of these terms and conditions.
